Terms of service

The terms that govern Stayvalor.

These Terms govern access to and use of the Stayvalor platform, website, and related services provided by 4RHD Solutions Inc.

1. The Service

Stayvalor is a property operating system for hospitality businesses, comprising modules for front desk operations, reservations, housekeeping, billing and point of sale, a guest portal, and corporate accounts. The modules available to you depend on your plan.

We may improve, add, or modify features over time, provided we do not materially reduce the core functionality of your plan during a paid term.

2. Accounts and access

You are responsible for the accuracy of your account information, maintaining credential confidentiality, all activity under your accounts, and ensuring team members use the Service in line with these Terms. Each staff member must use an individual login.

Notify support@stayvalor.com promptly of any suspected unauthorised access.

3. Plans, fees, and billing

Current plans and inclusions are described at stayvalor.com/pricing: Atelier, House, and Estate. Room limits are measured per property as configured in the Service.

Fees are billed monthly in advance unless you choose annual billing. There are no setup fees, and Stayvalor does not charge commissions or percentages on bookings.

Fees are charged to your payment method on file through payment partners. Overdue amounts may result in suspension after reasonable notice. You are responsible for applicable taxes other than taxes on Stayvalor's income.

  • Annual billing is twelve months for the price of ten.
  • Cancel within 30 days of your first subscription for a full refund of subscription fees paid.
  • Upgrades take effect immediately with prorated charges; downgrades take effect at the next billing cycle.
  • Price changes require at least 30 days' notice and apply from the next billing cycle or renewal.

4. Onboarding, migration, and pilots

Onboarding, data migration from your previous system, and training are included with every plan. Where we agree to a sandboxed pilot, pilot environments are provided as-is for evaluation and may be deleted after the pilot ends.

5. Customer Data and guest data

As between the parties, you own all data you and your guests submit to the Service, including guest profiles, reservations, folios, and reports.

You are the controller of guest personal data. Stayvalor processes it on your documented instructions as a processor under our Data Processing Addendum, which is incorporated into these Terms.

You grant Stayvalor a limited licence to host and process Customer Data solely to provide, secure, and support the Service. We may use aggregated, de-identified data to improve the Service.

6. Acceptable use

You agree not to use the Service in violation of law; upload malicious code; probe, breach, or circumvent security; access the Service to build a competing product; resell or sublicense the Service except as agreed in writing; misuse guest data; or interfere with the integrity or performance of the Service.

We may suspend access for material violations, with notice where practicable.

7. Third-party services

The Service integrates with third-party services you choose to enable, including payment rails, channel managers, and door-lock vendors. Your use of those services is governed by their own terms. Payment processing is performed by payment providers; Stayvalor does not store full card numbers.

8. Intellectual property

Stayvalor owns the Service, including software, design, and documentation. We grant you a non-exclusive, non-transferable right to use the Service during your subscription for internal hospitality operations.

Feedback you provide may be used by Stayvalor without restriction or obligation. Your trademarks remain yours; white-label features display your branding to guests under your authorisation.

9. Confidentiality

Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms. This does not apply to information that is public, independently developed, rightfully received from a third party, or required to be disclosed by law.

10. Availability and support

Stayvalor targets 99.99% uptime, excluding scheduled maintenance and events beyond our reasonable control. Support is provided per plan: business-hours email support for Atelier, 24/7 priority support for House and Estate, and dedicated success management and contractual SLAs for Estate where agreed.

11. Warranties and disclaimers

We warrant that the Service will perform materially as described for your plan. Except as expressly stated, the Service is provided as is, and we disclaim all other warranties to the maximum extent permitted by law.

We do not warrant that the Service will be uninterrupted or error-free, or that it will satisfy regulatory requirements specific to your jurisdiction. Verifying local compliance remains your responsibility.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data.

Each party's total aggregate liability under these Terms is capped at the fees paid or payable by you in the 12 months before the event giving rise to the claim, except where liability cannot be limited by law or for excluded obligations such as payment obligations, confidentiality breaches, and acceptable-use violations.

13. Indemnity

You will defend and indemnify Stayvalor against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law.

Stayvalor will defend and indemnify you against third-party claims that the Service, as provided and used as permitted, infringes intellectual property rights, and may remedy any such claim by modifying the Service, procuring rights, or terminating with a prorated refund.

14. Term, suspension, and termination

These Terms apply while you have an account. Monthly plans renew monthly and annual plans renew annually unless cancelled before renewal.

You may cancel at any time from subscription settings or by contacting support. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Service ends and Customer Data export and deletion terms apply.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts of Ontario, Canada.

Before filing a claim, the parties will attempt in good faith to resolve any dispute through discussion between senior representatives for at least 30 days.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-product at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

17. General

These Terms, together with the Data Processing Addendum, Privacy Policy, and any order form or SLA, are the entire agreement and supersede prior discussions. Notices to Stayvalor go to legal@stayvalor.com; notices to you go to your account email.
